Bending Spoons to Acquire Vimeo in $1.38B Cash Deal
Vimeo is set to be acquired by European mobile app developer Bending Spoons in an all-cash transaction valued at approximately $1.38 billion. The agreement, announced on Wednesday, marks a significant shift for the video platform that has operated as an independent public company since its 2021 spin-off from IAC.
The transaction is slated to finalize in the fourth quarter of 2025, pending regulatory approvals and standard closing conditions. Once the acquisition is complete, Vimeo will be delisted from public stock exchanges.
Strategic Outlook and Leadership Vision
Bending Spoons CEO and co-founder Luca Ferrari stated that the firm views this acquisition as a long-term commitment. “At Bending Spoons, we acquire companies with the expectation of owning and operating them indefinitely,” Ferrari said in a press release.
Ferrari outlined plans to prioritize investment in both creator and enterprise segments, alongside the integration of further AI-driven features. Vimeo CEO Philip Moyer echoed this sentiment, noting that the partnership aims to enhance the platform’s focus across its core segments, including OTT, streaming services, and enterprise solutions.
A History of Consolidation
The acquisition of Vimeo follows a recurring strategy employed by Bending Spoons, which has previously acquired and restructured several high-profile tech companies:
- Evernote: Acquired in 2022, the company subsequently moved operations to Europe, significantly reduced its U.S. and Chile-based workforce, and implemented stricter limits on its free tier.
- WeTransfer: Following an acquisition in July 2024, Bending Spoons laid off 75% of the staff and later restricted free users to a maximum of 10 transfers per month.
Vimeo’s move to join Bending Spoons comes after a period of financial decline. Since transitioning into an independent entity away from IAC, the platform has seen its market value drop by nearly 90%, leading the board to explore strategic alternatives for the business.
