Unacademy valuation drops below $500M as M&A talks begin
Unacademy, once a titan of the Indian edtech sector, is currently valued at less than $500 million. This sharp decline represents an 85% drop from the company’s $3.5 billion valuation at its peak three years ago, forcing leadership to actively explore potential merger and acquisition opportunities.

The disclosure came directly from CEO Gaurav Munjal in a candid statement shared on X to mark the firm’s 10th anniversary. Munjal acknowledged that the organization has endured its most challenging period since its 2015 inception, citing a combination of internal complacency, aggressive competition, and a post-pandemic return to offline education.
Market Shifts and Operational Reset
The pandemic-era boom provided a unique window for growth, but the subsequent normalization of classroom learning stalled momentum for several major players. Munjal noted that the company struggled to maintain its footing in a market it helped define.
“We got complacent,” Munjal admitted, noting that the company failed to adapt its pricing strategies while rivals introduced more affordable alternatives. The struggle was compounded by a significant loss in market share, a phenomenon he described as painful for the founding team.
To survive, Unacademy has undergone a drastic transformation over the last 24 months:
- Burn Rate Reduction: Annual cash burn was slashed from ₹14 billion (approximately $155.7 million) in 2022 to under ₹1.75 billion (about $19.5 million) today.
- Internal Restructuring: The firm implemented significant headcount reductions and minimized marketing expenditures.
- Strategic Focus: Leadership has pivoted back to the core subscription model to stabilize operations.
The Broader Indian Edtech Landscape
The sector has seen extreme volatility. Byju’s, previously the most valuable startup in the space, has faced a total collapse, entering insolvency proceedings with its founder, Byju Raveendran, currently embroiled in legal battles over $1.07 billion in court-ordered payments. Conversely, competitors like Physics Wallah have managed to achieve profitability and recently made a successful public market debut.
Internal friction has also surfaced at Unacademy. Reports suggest that some investors are concerned about Munjal’s recent focus on AirLearn, an AI-driven language app, fearing it diverts attention from the core business during this critical turnaround phase.
Future Outlook
With a total of $854.3 million raised across 13 rounds from major backers like SoftBank, Tiger Global, General Atlantic, and Peak XV Partners, the pressure to find a path forward is immense. Recent market speculation points to potential acquisition interest from rival firm UpGrad, with valuations for such a deal estimated between $300 and $400 million.
